White‑Label Licence Agreement

Subject to the terms and conditions set out in this Agreement, Empire AI Finance grants the Licensee a non-exclusive, non-transferable, revocable licence to use the Empire AI White-Label platform and associated intellectual property solely for the purpose of offering branded financial intelligence services to the Licensee's own clients.

The licence permits the Licensee to display its own branding, domain, and corporate identity through the White-Label interface, and to generate client-facing reports and communications that incorporate such branding.

The Licensee may use the licensed platform during the term of this Agreement within the client-volume limits of the selected licence tier.

The Licensee may sublicense access to its own end-clients, provided that each client relationship is managed under the Licensee's sole account and remains subject to this Agreement.

All usage must comply with applicable laws, regulations, and Empire AI Finance acceptable-use policies.

Empire AI Finance retains all right, title, and interest in and to the platform, software, algorithms, trademarks, documentation, and any improvements or derivatives thereof.

The Licensee retains ownership of its own branding, client data, and any original content it creates for use within the White-Label environment.

Nothing in this Agreement constitutes a sale, assignment, or transfer of ownership of any Empire AI Finance intellectual property.

The Licensee shall not reverse engineer, decompile, disassemble, or attempt to derive the source code of the platform.

The Licensee shall not resell, redistribute, or make the platform available to third parties outside the scope of its own branded client offering.

The Licensee shall not remove, obscure, or alter any proprietary notices, branding, or copyright statements embedded in the platform by Empire AI Finance.

The Licensee shall not use the platform for unlawful, fraudulent, or misleading purposes.

This Agreement commences on the date the White-Label licence is activated and continues for the initial licence period selected by the Licensee.

The licence will automatically renew for successive terms equal to the original term unless either party gives written notice of non-renewal at least thirty (30) days before the end of the then-current term.

Renewal fees will be charged at the prevailing rate communicated to the Licensee prior to renewal.

Empire AI Finance may suspend or revoke the licence immediately if the Licensee breaches any material term of this Agreement, fails to pay fees when due, or uses the platform in a manner that harms Empire AI Finance, its users, or its systems.

Upon revocation or non-renewal, the Licensee must cease all use of the White-Label platform and remove all Empire AI Finance references from client-facing materials, except where retention is required by law.

Revocation does not relieve the Licensee of obligations accrued prior to the effective date of revocation.

The platform is provided on an 'as is' and 'as available' basis. Empire AI Finance does not warrant that the platform will be uninterrupted, error-free, or suitable for any particular commercial outcome.

To the fullest extent permitted by law, Empire AI Finance's aggregate liability arising out of or relating to this Agreement shall not exceed the total fees paid by the Licensee in the twelve (12) months preceding the claim.

Neither party shall be liable for any indirect, incidental, consequential, or punitive damages.

Empire AI Finance will provide support to the Licensee in accordance with the support tier included in the selected licence plan.

Support requests must be submitted through the channels designated by Empire AI Finance and may be subject to published response-time commitments.

The Licensee is responsible for first-line support to its own end-clients unless a higher support tier has been expressly agreed in writing.
